REDAN MEMBERSHIP GUIDELINES *

Welcome to the Redan community! We are thrilled to have you as a part of our group. As members of an exclusive community, we each have a responsibility to uphold the community’s values and standards. Below, you will find our Membership Guidelines, which are designed to ensure that our environment remains positive, respectful, and confidential. Adhering to these Membership Guidelines will help to ensure that Redan remains a safe, respectful, and thriving community. We appreciate your cooperation and commitment to these principles.

1. Read and Comply with Posted Codes of Conduct. Redan events and activities are held at venues that are not owned or operated by Redan, such as golf courses, country clubs, restaurants, festivals, hotels and resorts (collectively, “Venues”). Many of these Venues have their own membership guidelines or codes of conduct and you must at all times comply with these rules during your visit.
2. Behave Professionally and Courteously. All Redan members [and their guests] are expected to exhibit professional and courteous behavior at all times while participating in Redan events and activities or visiting any Venue. This means that you should be respectful of all other Redan members, Redan employees, Venue employees, and anyone else that you encounter during your visit. This also means that you should observe traditional golf etiquette (when golfing or participating in golf-related activities) and abide by the Venue’s dress code (if any).
3. Be Respectful of Redan Employees. Redan members should not engage in any disrespectful or harassing behavior towards our employees. Redan members should not reprimand any Redan employee under any circumstances. Any complaints or criticisms should be reported directly to Redan at help@apply.redan.club.
4. Be Respectful of Venue Employees. Redan members are guests at our partner Venues and members are expected to treat all Venue employees with respect. In particular, Redan members should not reprimand any Venue employee under any circumstances. Any complaints or criticisms of Venue employees should be reported directly to Venue management.
5. Be Respectful of Venue Property. Redan members should not engage in any conduct that damages Venue property and should not remove any property belonging to a Venue without the permission of the Venue’s management. Redan members shall be liable to the Venue for the value of any Venue property which is damaged or improperly removed from the Venue by the member [or their guests].
6. Drink Responsibly. If you consume any alcohol while attending a Redan even or activity, or while visiting a Venue, please drink responsibly. Neither Redan nor any Venue shall be responsible for any injury, disability, death, or property damage resulting from your consumption of alcohol at a Redan event or activity.
7. Drive Carefully. If you drive a golf cart or other vehicle during your visit to a Venue, you must do so at a safe speed and remain on cart paths whenever possible. Redan members shall be responsible for any damage caused by their[, or their guest’s] operation of a golf cart or other vehicle while at a Venue. As always, please review the Venue’s membership guidelines or code of conduct for additional requirements.
8. Privacy and Confidentiality. At Redan, privacy and confidentiality of our information, and information about our members, are paramount. All members are expected to keep any information or content made available through their membership or discussions with other members private and strictly confidential. This includes, but is not limited to, member lists, conversations, and any digital or physical materials related to your Redan membership.
9. Membership is a Privilege. Membership in the Redan community is a privilege and should be treated as such. We expect that all members will make positive contributions to the community and engage in activities that promote the growth and well-being of the group.
10. Enforcement of Membership Guidelines. Any breach of these guidelines will be taken seriously as a violation of the Redan Terms of Use and may result in the immediate suspension or revocation of your membership. If you observe any behavior that violates these guidelines, please report it to a community administrator immediately. All reports will be treated with the utmost confidentiality.

REDAN MEMBERSHIP RELEASE AND WAIVER OF LIABILITY
Redan Holdings Inc. (“Redan” or “we”) is excited to welcome you to the Redan membership community and looks forward to your participation in all of the various events, functions, socials, programs and activities that we sponsor or make available to you, including, without limitation, golfing and related activities, members’-only meals and outings, and pop-up events (collectively, the “Activities”). Before we can allow you to take part in any Activities, you must read and sign this Redan Membership Release and Waiver of Liability (“Release”).

This Release is executed as of the date set forth below by customer (“I” or “me”) in favor of Redan, a corporation organized and existing under the laws of the State of Delaware, and its members, directors, officers, managers, employees, affiliates, agents, successors, assigns, and third-party partners and sponsors (collectively, the “Releasees”).
In exchange for being permitted to participate in the Activities and for other good and valuable consideration, the receipt and sufficiency of which I acknowledge, I hereby freely, voluntarily, and without duress execute this Release and agree to the following terms:

1. Assumption of Risk. I hereby assume all risks of participating in all Activities. I acknowledge that participating in Activities may involve potentially hazardous activities which could cause serious bodily or personal injury, pain, suffering, temporary or permanent disability, death, property theft or damage and/or financial loss. I ACKNOWLEDGE THAT THE ACTIVITIES OFTEN OCCUR AT THIRD-PARTY LOCATIONS AND/OR OUTDOORS (SUCH AS, WITHOUT LIMITATION, AT GOLF COURSES, COUNTRY CLUBS, RESTAURANTS, FESTIVALS, HOTELS AND/OR RESORTS) AND THAT CERTAIN CIRCUMSTANCES OR CONDITIONS MAY EXIST WHICH MAY CAUSE INJURY, BUT WHICH ARE NOT FORESEEABLE OR UNDER REDAN’S CONTROL.

With full understanding of the risks I am taking, I HEREBY ASSUME ALL RISKS OF INJURY TO PERSON OR PROPERTY OR ANY OTHER CONSEQUENCE ASSOCIATED WITH ATTENDING, TRAVELLING TO OR FROM, OR PARTICIPATING IN THE ACTIVITIES including but not limited to: injuries, falls, death, theft or damage of personal property, the consumption of alcohol by myself or others, driving or being driven in any vehicle, whether such vehicle is owned by me, Redan, or any other party, contact with other participants, the effects of the weather, traffic and the conditions of the road, all such risks being known and understood by me. I certify that I am in good health and that I will not enter or participate in any Activity unless I am medically able to do so and have not been advised otherwise by a qualified medical professional. I agree to exercise ordinary and reasonable care at all times.

I AM AWARE AND UNDERSTAND THAT PARTICIPATING IN ACTIVITIES MAY INVOLVE POTENTIALLY DANGEROUS ACTIVITIES, MAY EXPOSE ME TO A VARIETY OF FORESEEN AND UNFORESEEN HAZARDS AND RISKS, AND INVOLVE RISKS OF PERSONAL INJURY, PAIN, SUFFERING, TEMPORARY OR PEMERNENT DISABILITY, DEATH, PROPERTY THEFT OR DAMAGE, AND/OR FINANCIAL LOSS. I ACKNOWLEDGE THAT ANY INJURIES THAT I SUSTAIN MAY RESULT FROM OR BE COMPOUNDED BY THE ACTIONS, OMISSIONS, OR NEGLIGENCE OF REDAN. NOTWITHSTANDING THE RISK, I ACKNOWLEDGE THAT I AM KNOWINGLY AND VOLUNTARILY PARTICIPATING IN THE ACTIVITIES WITH AN EXPRESS UNDERSTANDING OF THE DANGER INVOLVED AND HEREBY AGREE TO ACCEPT AND ASSUME ANY AND ALL RISKS OF INJURY, PAIN, SUFFERING DISABILITY, DEATH, PROPERTY THEFT OR DAMAGE AND/OR FINANCIAL LOSS ARISING FROM MY PARTICIPATION IN THE ACTIVITIES, WHETHER CAUSED BY THE ORDINARY NEGLIGENCE OF REDAN OR OTHERWISE.

2. Medical Treatment. I hereby give consent and authority to Redan to obtain medical treatment on my behalf if I am injured or require medical attention during my participation in any Activity. I understand and agree that I am solely responsible for all costs related to such medical treatment, medical transportation, and/or evacuation. I hereby release, forever discharge, and hold harmless Redan from any claim whatsoever in connection with such treatment or other medical services.

3. Release and Waiver. I hereby fully and forever release and discharge Redan from, and expressly waive any and all claims which I may have, or which I may hereafter have, whether known or unknown, against Redan and the Releasees arising out of or attributable to my participation in any Activities, whether arising out of the ordinary negligence of Redan or any Releasees or otherwise. I covenant not to make or bring any such claim against Redan or any other Releasee, and forever release and discharge Redan and all other Releasees from liability under such claims. This waiver and release does not extend to claims for gross negligence, intentional or reckless misconduct, or any other liabilities that may not be released under applicable law.
I understand that by signing this release, I am waiving any and all claims, of any kind arising out of or attributable to my participation in the Activities, including those claims that may be unknown to me, or which I do not suspect to exist at this time. WITH THE INTENTION OF WAIVING ALL UNKNOWN AND UNSUSPECTED CLAIMS, I HEREBY EXPRESSLY WAIVE ALL RIGHTS, BENEFITS, AND PROTECTIONS I MAY HAVE UNDER CALIFORNIA CIVIL CODE SECTION 1542 (TO THE EXTENT APPLICABLE), WHICH READS AS FOLLOWS:

A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party.

I UNDERSTAND THAT THIS RELEASE DISCHARGES REDAN FROM ANY LIABILITY OR CLAIM THAT I MAY HAVE AGAINST REDAN WITH RESPECT TO ANY PERSONAL INJURY, PAIN, SUFFERING, TEMPORARY OR PERMANENT DISABILITY, DEATH, PROPERTY THEFT OR DAMAGE AND/OR FINANCIAL LOSS THAT MAY RESULT FROM THE ACTIVITIES, WHETHER CAUSED BY THE NEGLIGENCE OF REDAN OR OTHERWISE.

4. Insurance. I UNDERSTAND THAT REDAN DOES NOT ASSUME ANY RESPONSIBILITY FOR OR OBLIGATION TO PROVIDE FINANCIAL ASSISTANCE OR OTHER ASSISTANCE, INCLUDING BUT NOT LIMITED TO MEDICAL, HEALTH, OR DISABILITY INSURANCE OF ANY NATURE IN THE EVENT OF MY PERSONAL INJURY, PAIN, SUFFERING, TEMPORARY OR PERMANENT DISABILITY, DEATH, PROPERTY THEFT OR DAMAGE AND/OR FINANCIAL LOSS.

I expressly waive any claim for compensation or liability on the part of Redan in the event of any injury or medical expense.

5. Indemnification. I shall defend, indemnify, and hold harmless Redan and all other Releasees against any and all losses, damages, judgments, or expenses, including attorneys’ fees, that Redan or any other Releasees may incur or sustain as a result of any third-party claim arising from or related to my negligence, recklessness, or willful misconduct in connection with my participation in any Activities.

6. Photographic Release and Rights to Use My Likeness. I understand and agree that during Activities, I may be photographed and/or videotaped by Redan for internal and/or promotional use. I hereby grant and convey to Redan all right, title, and interest, including but not limited to, any royalties, proceeds, or other benefits, in any and all such photographs or recordings, and consent to Redan’s use of my name, image, likeness, and voice in perpetuity, in any medium or format, for any publicity without further compensation or permission.

7. Miscellaneous. I hereby agree that this Release represents the full understanding between Redan and me, and supersedes all other prior agreements, understandings, representations, and warranties, both written and oral, between us, with respect to the subject matter hereof. If any term or provision of this Release shall be held to be invalid by any court of competent jurisdiction, that term or provision shall be deemed modified so as to be valid and enforceable to the full extent permitted. The invalidity of any such term or provision shall not otherwise affect the validity or enforceability of the remaining terms and provisions. This Release is binding on and inures to the benefit of Redan and me and our respective heirs, executors, administrators, legal representatives, successors, and permitted assigns.

8. Binding Arbitration . I agree that any dispute relating to, referring to, involving or pursuant to this Release shall be resolved exclusively by binding arbitration in accordance with Redan’s Terms of Use (available at [https://apply.redan.club/terms/]). Any such proceedings will be governed by the substantive law of the State of California.
